Terms and Conditions

These Terms of Service (“Terms”) govern access to and use of the services provided by Vacanzo LLC (“we,” “us,” “our”) via vacanzo.io (the “Platform”) and related systems. By creating an account or using our services, you (“Customer,” “you”) agree to be bound by these Terms and our Privacy Policy.

1. Definitions

a) “Services” means all offerings by us, including but not limited to: building, customizing, hosting, and maintaining direct booking websites (via Webflow), integrating with Lodgify for PMS, channel management, booking engine setup, support, maintenance, and related tools.
b) “Customer Account” is the account you register with us to access Services.
c) “Customer Website” is the booking website we build for you (hosted on Webflow or a domain you control).
d) “Property(ies)” means one or more real estate units (villa, apartment, chalet, house, etc.) you wish to list for rental.
e) “Subscription Fee” is the recurring fee you pay to Vacanzo for our Services.
f) “Setup Fee” is the one-time fee for building your initial site, integration, and onboarding.
g) “Third-Party Services/Channels” are external platforms or services you integrate (e.g. Lodgify, Airbnb, Booking.com, iCal, payment processors).
h) “Customer Content” means content you supply (photos, descriptions, rates, availability, policies, etc.).

2. Customer Account & Eligibility

a) You must register and provide accurate, current information.
b) You are responsible for maintaining confidentiality of your login credentials.
c) You must be at least 18 years old.
d) If you register on behalf of an organization, you warrant you have authority to bind it.
e) You are responsible for all activity under your account.

3. Scope of Services & Limitations

a) We do not act as a rental agent or property manager. We provide the tools (website, integration, maintenance).
b) We do not guarantee bookings, guest behavior, or property condition.
c) You are fully responsible for your Property listings, accuracy of descriptions, compliance with applicable laws, taxes, licenses, and guest relations.
d) You must ensure your listings and website comply with all applicable local, regional, and national laws (e.g. licensing, short-term rental regulations).
e) We may refuse service or terminate your account if you operate in direct competition without consent.

4. Use of Services

a) You may use Services solely to advertise, book, manage your Properties.
b) You agree to comply with all applicable laws and regulations in your operations.
c) You are responsible for your Customer Content and ensuring it does not infringe third-party rights or violate laws.
d) You warrant that your Content is accurate, up to date, and not misleading.

5. Setup Fee & Subscription

a) Upon acceptance of your plan, you pay the Setup Fee (one-time) before work begins.
b) You will also pay a Subscription Fee monthly or annually (depending on your plan).
c) Subscription renews automatically unless canceled in accordance with clause 7.
d) We manage your Webflow subscription on your behalf; you pay Vacanzo, and we provision Webflow.
e) The Lodgify subscription remains your responsibility: you pay Lodgify directly under their Terms. Vacanzo handles configuration but is not responsible for your Lodgify billing.

6. Cancellation, Refunds & Termination

a) You may cancel your subscription at any time (we require notice at least 1 day before renewal).
b) For consumers (individuals), you have a 14-day right of withdrawal from starting the Services, subject to reasonable deduction of setup costs and service usage.
c) After withdrawal period or for business customers, no refund of subscription fees for unused periods.
d) Upon termination, you lose access to Services; we may delete your data after a period.
e) Outstanding fees, including for work already done, remain payable.

7. Support & Maintenance

a) We include support (via email, chat, or as per plan) and maintenance (bug fixes, updates) as part of your subscription.

b) We are not responsible for third-party software outages (e.g. Webflow, Lodgify) or their downtime.

c) Major custom feature requests beyond plan scope will incur additional charges.

8. Intellectual Property

a) We (and our licensors) retain all IP rights in the Services, software, platform, designs, and tools.
b) You retain rights in your Customer Content.
c) You grant us a license to host, display, and use your Customer Content as needed to provide Services.

9. Website Access and Ownership

9.1 Ownership During Subscription

All Vacanzo websites are fully hosted, managed, and maintained by the Vacanzo team.

During the active subscription period, the Client has full usage rights to their website, including the ability to accept bookings, manage content, and operate their business freely.

The website, design, and related assets remain the property of Vacanzo until ownership transfer occurs.

9.2 Full Ownership Transfer

After 24 consecutive months of active subscription, full ownership of the Client’s website (including Webflow project files, domain connection, and design rights) can be transferred to the Client at no additional cost.

This transfer includes a permanent license to use, edit, and host the website independently.

9.3 Early Ownership Transfer

If the Client wishes to obtain full ownership before completing 24 months of subscription, an early ownership transfer may be requested at any time.

A one-time buyout fee applies, which covers the remaining value of website development and varies by plan tier:

• Basic Plan: €1,500 after 6 months, €1,000 after 12 months, €500 after 18 months
• Standard Plan: €2,625 after 6 months, €1,750 after 12 months, €875 after 18 months
• Premium Plan: €4,500 after 6 months, €3,000 after 12 months, €1,500 after 18 months

Once the buyout fee is paid, full website ownership is permanently transferred to the Client.

9.4 Cancellation or Expiration

If a subscription is cancelled or expires before ownership transfer, the website and hosting will be paused.

The Client has 30 days after cancellation to request ownership transfer under the applicable early transfer terms.

If no transfer is requested within that period, all hosted data and assets may be deleted for security and maintenance reasons.

9.5 Ongoing Support After Transfer

Once full ownership is transferred, Vacanzo is no longer responsible for hosting, updates, or maintenance unless a separate service agreement is made.

Clients may, however, continue to use Vacanzo hosting and support under an agreed maintenance plan.

10. Third-Party Integrations

a) Our Services depend on third-party platforms (Lodgify, Webflow, OTAs).
b) We are not liable for performance, outages, or changes in those third-party platforms.
c) You must maintain your accounts and connectivity with those services.
d) If a third-party becomes unavailable, we may suspend related features until alternative is found.

11. Warranty, Disclaimers & Liability

a) Services are provided “as is” and “as available.” We make no guarantee of uninterrupted service or specific results.
b) We disclaim all implied warranties to the fullest extent permitted by law.
c) Our maximum liability is limited to the amount you paid for our subscription in the past 12 months.
d) We do not accept liability for indirect, incidental, or consequential losses (lost profits, data loss, etc.).
e) Nothing excludes liability for death or personal injury caused by our negligence or fraud.

12. Data & Privacy

a) Your data and guest data are processed in accordance with our Privacy Policy, which is incorporated by reference.
b) You act as data controller for your Properties and guest data.
c) We are a data processor in providing our Services.
d) Data may be stored or transferred across jurisdictions as required to operate the Platform.

13. Indemnity

You agree to indemnify and hold harmless Vacanzo LLC, its officers, employees and agents, from any claims, losses, liabilities, damages, and costs arising from your breach of these Terms, your negligence, or misuse of the Services.

14. Force Majeure

Neither party is liable for failure to perform due to causes beyond reasonable control (natural disasters, war, outage of Internet infrastructure, acts of government, etc.).

15. Changes to Terms

We may update these Terms from time to time, giving notice (e.g. email). Continued use after changes means acceptance.

16. Severability & Non-Waiver

If any part of these Terms is invalid, the remainder stays in force. Failure to enforce a right does not waiver it.

17. Notices & Communication

All notices should be via email or messages within the Platform. You agree our emails to your registered email are effective notices.

18. Governing Law & Jurisdiction

These Terms are governed by Slovenian law. Any dispute will be resolved in the competent courts in Ljubljana, Slovenia.
