Terms and Conditions

These Terms of Service (“Terms”) govern access to and use of the Vacanzo platform, available at vacanzo.io (the “Platform”), and its related services.

Vacanzo is a brand operated by Magnetera, drustvo zdravja, a business registered in Slovenia, with its registered address at Goricane 32, 1215 Medvode, Slovenia and registration number 4065603000 (the “Service Provider,” “we,” “us,” or “our”).

By creating an account or using the Platform, you (“Customer,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy.

1. Definitions

a) “Services” means all offerings by us, including but not limited to: building, customizing, hosting, and maintaining direct booking websites (via Webflow), integrating with Lodgify for PMS, channel management, booking engine setup, support, maintenance, and related tools.
b) “Customer Account” is the account you register with us to access Services.
c) “Customer Website” is the booking website we build for you (hosted on Webflow or a domain you control).
d) “Property(ies)” means one or more real estate units (villa, apartment, chalet, house, etc.) you wish to list for rental.
e) “Subscription Fee” is the recurring fee you pay to Vacanzo for our Services.
f) “Setup Fee” is the one-time fee for building your initial site, integration, and onboarding.
g) “Third-Party Services/Channels” are external platforms or services you integrate (e.g. Lodgify, Airbnb, Booking.com, iCal, payment processors).
h) “Customer Content” means content you supply (photos, descriptions, rates, availability, policies, etc.).

2. Customer Account & Eligibility

a) You must register and provide accurate, current information.
b) You are responsible for maintaining confidentiality of your login credentials.
c) You must be at least 18 years old.
d) If you register on behalf of an organization, you warrant you have authority to bind it.
e) You are responsible for all activity under your account.

3. Scope of Services & Limitations

a) We do not act as a rental agent or property manager. We provide the tools (website, integration, maintenance).
b) We do not guarantee bookings, guest behavior, or property condition.
c) You are fully responsible for your Property listings, accuracy of descriptions, compliance with applicable laws, taxes, licenses, and guest relations.
d) You must ensure your listings and website comply with all applicable local, regional, and national laws (e.g. licensing, short-term rental regulations).
e) We may refuse service or terminate your account if you operate in direct competition without consent.

4. Use of Services

a) You may use Services solely to advertise, book, manage your Properties.
b) You agree to comply with all applicable laws and regulations in your operations.
c) You are responsible for your Customer Content and ensuring it does not infringe third-party rights or violate laws.
d) You warrant that your Content is accurate, up to date, and not misleading.

5. Setup Fee & Subscription Fees & Billing

5.1 Setup Fee

A one-time setup fee may apply depending on the selected subscription plan, billing option, and any promotional offer available at the time of purchase.

The applicable setup fee, including any promotional discount or waiver, will be clearly disclosed before purchase.

Where a setup fee applies, payment is required before website development begins unless otherwise agreed in writing.

5.2 Subscription Fees

Clients may choose between monthly and annual billing.

Subscription fees cover the services included in the selected Vacanzo plan, including website hosting, maintenance, support, and applicable integrations.

All advertised prices exclude applicable taxes unless expressly stated otherwise.

5.3 Monthly Subscriptions

Monthly subscriptions are billed in advance every month and are subject to an initial minimum commitment of three (3) months.

After the initial three-month period, the subscription automatically continues on a month-to-month basis until cancelled in accordance with Section 6.

5.4 Annual Subscriptions

Annual subscriptions are billed in advance for a twelve (12)-month subscription period.

Unless cancelled at least thirty (30) days before the next renewal date, the subscription automatically renews for another twelve (12) months.

5.5 Webflow Hosting

Vacanzo manages the Webflow website and provides the hosting services included in the Client’s selected subscription plan.

The Client pays Vacanzo for these services. Any third-party services not expressly included in the selected plan remain the Client’s responsibility.

5.6 Lodgify Subscription

A separate Lodgify subscription is required for booking functionality provided through Lodgify.

The Client subscribes to and pays Lodgify directly under Lodgify’s own terms and pricing.

Vacanzo provides Lodgify setup, configuration, and integration services as described in the selected Vacanzo plan but does not collect Lodgify subscription fees.

6. Cancellation, Refunds & Termination

6.1 Monthly Subscription Cancellation

Monthly subscriptions are subject to an initial minimum commitment of three (3) months.

Clients may request cancellation at any time. During the initial commitment period, cancellation will take effect no earlier than the end of the three-month minimum term, unless otherwise required by applicable law.

After the initial commitment period, Clients may cancel at any time. Cancellation takes effect at the end of the current paid monthly billing period.

No further subscription fees will be charged after the effective cancellation date.

6.2 Annual Subscription Cancellation

Annual subscriptions are purchased for a twelve (12)-month period and billed in advance.

Annual subscriptions automatically renew for successive twelve-month periods unless the Client submits a cancellation request at least thirty (30) days before the applicable renewal date.

A timely cancellation takes effect at the end of the current paid annual subscription period.

6.3 Cancellation Requests

Clients may request cancellation by contacting Vacanzo through the support contact details published on the Vacanzo website.

Vacanzo will acknowledge cancellation requests and confirm the effective cancellation date.

Mandatory statutory cancellation and withdrawal rights remain unaffected.

6.4 Consumer Right of Withdrawal

Where the Client qualifies as a consumer and applicable law provides a statutory right of withdrawal, the Client may exercise that right within the legally prescribed period.

Where the Client expressly requests that services begin during the withdrawal period, any payment due for services already performed will be determined in accordance with applicable consumer protection law.

Nothing in these Terms excludes or restricts mandatory consumer rights.

6.5 Refunds

Subscription fees already paid are generally non-refundable for periods during which the Services remain available, except where a refund is required by applicable law or expressly agreed by Vacanzo.

Cancellation does not automatically entitle the Client to a refund of prepaid subscription fees.

6.6 Termination and Website Access

When a subscription ends, Vacanzo’s obligation to provide website hosting, maintenance, and support under that subscription also ends.

Unless website ownership has been transferred under Section 9, the website may be suspended when the subscription expires.

The Client may request an early website ownership transfer in accordance with Section 9.

6.7 Outstanding Payments

Termination does not release either party from payment obligations that lawfully arose before the effective termination date.

Outstanding fees remain subject to applicable law and the terms agreed at the time of purchase.

7. Support & Maintenance

7.1 Included Services

Vacanzo provides website hosting, routine maintenance, technical support, bug fixes, and applicable updates as specified in the Client’s selected subscription plan.

7.2 Third-Party Services

Vacanzo relies on third-party providers, including Webflow and Lodgify.

Vacanzo is not responsible for outages or failures caused solely by third-party providers outside its reasonable control, except to the extent liability cannot be excluded under applicable law.

Vacanzo will make reasonable efforts to assist Clients with issues affecting supported integrations.

7.3 Additional Work

Major customizations, additional functionality, and services outside the selected subscription plan may incur additional charges.

Such charges will be communicated to the Client for approval before additional paid work begins.

8. Intellectual Property

8.1 Vacanzo Intellectual Property

Except for Client Content and third-party materials, Vacanzo retains the intellectual property rights it owns in its website designs, original development work, templates, configurations, and other materials created or supplied as part of the Services, subject to Section 9.

8.2 Client Content

The Client retains ownership of the text, images, logos, trademarks, and other materials supplied by the Client.

The Client grants Vacanzo a non-exclusive license to use, reproduce, adapt where necessary, display, and host such materials solely to provide the contracted Services.

8.3 Third-Party Materials

Webflow, Lodgify, and other third-party software, services, templates, fonts, and licensed materials remain subject to their respective owners’ rights and license conditions.

Vacanzo cannot transfer intellectual property rights that it does not own or have authority to transfer.

8.4 Ownership Transfer

Any transfer of website ownership or related rights is governed by Section 9.

9. Website Access & Ownership

9.1 Ownership During Subscription

Vacanzo websites are hosted, managed, and maintained by Vacanzo during the active subscription period.

The Client receives the rights necessary to use the website for its vacation rental business, including displaying accommodation information and accepting direct bookings through supported integrations.

Unless ownership has been transferred under this Section, Vacanzo retains ownership of the original website design and development assets it owns.

The Client retains ownership of its own content, trademarks, and other Client-provided materials.

9.2 Ownership Transfer After 24 Months

After twenty-four (24) consecutive months of an active, fully paid subscription, the Client may request the transfer of the website assets and intellectual property rights owned by Vacanzo and identified as transferable under this Agreement, at no additional buyout fee.

The transfer includes the agreed website design and available transferable Webflow project assets, subject to Webflow’s technical capabilities and applicable third-party license restrictions.

Domain ownership remains with the registered domain owner. Where necessary, Vacanzo will reasonably assist with transferring domain management or connection settings.

Following transfer, the Client may independently manage, modify, and host the transferred website, subject to applicable third-party service requirements.

9.3 Early Website Ownership Transfer

Clients may request an early transfer of website ownership before completing twenty-four (24) consecutive months of an active subscription.

An early ownership transfer requires payment of a one-time buyout fee based on the selected Vacanzo plan and the number of completed subscription months.

Basic Plan – Early Ownership Transfer Fees

• After 3–5 completed months: €1,750
• After 6–11 completed months: €1,500
• After 12–17 completed months: €1,000
• After 18–23 completed months: €500
• After 24 completed months: Free ownership transfer (€0)

Standard Plan – Early Ownership Transfer Fees

• After 3–5 completed months: €3,063
• After 6–11 completed months: €2,625
• After 12–17 completed months: €1,750
• After 18–23 completed months: €875
• After 24 completed months: Free ownership transfer (€0)

Premium Plan – Early Ownership Transfer Fees

• After 3–5 completed months: €5,250
• After 6–11 completed months: €4,500
• After 12–17 completed months: €3,000
• After 18–23 completed months: €1,500
• After 24 completed months: Free ownership transfer (€0)

Additional Conditions

All buyout fees exclude applicable taxes.

The applicable buyout fee is determined by the number of fully completed subscription months at the time the ownership transfer is requested, provided all subscription payments due up to that date have been paid.

Early ownership transfer before the completion of the initial three-month minimum commitment is subject to a separate written agreement. Any outstanding contractual payment obligations remain payable, subject to applicable law.

Following payment of the applicable buyout fee, Vacanzo will arrange the transfer of the website assets and intellectual property rights that it owns and is legally entitled to transfer, subject to applicable third-party platform and licensing restrictions.

Early ownership transfer does not automatically cancel an active subscription, waive any applicable minimum commitment, or entitle the Client to a refund of prepaid subscription fees.

Clients who cancel their subscription without purchasing an early ownership transfer do not acquire ownership of Vacanzo’s website design or development assets.

After twenty-four (24) consecutive months of a fully paid subscription, the Client may request ownership transfer without an additional buyout fee, in accordance with Section 9.2.

Any mandatory statutory rights remain unaffected.

9.4 Cancellation or Expiration Before Ownership Transfer

If the Client’s subscription ends before ownership transfer, Vacanzo may suspend website hosting and related services from the effective termination date.

The Client may request an ownership transfer within thirty (30) days after the subscription ends, subject to the applicable early transfer terms.

Vacanzo will provide reasonable information about the available transfer and data export options.

After the applicable retention period, website assets and hosted data may be deleted, subject to legal retention obligations, data protection requirements, and any rights of the Client to retrieve its data.

9.5 Services After Ownership Transfer

After ownership transfer, Vacanzo is no longer responsible for website hosting, updates, maintenance, or technical support unless the parties enter into a separate service agreement.

The Client may request continued hosting, maintenance, or support under a separately agreed plan.

10. Third-Party Integrations

a) Our Services depend on third-party platforms (Lodgify, Webflow, OTAs).
b) We are not liable for performance, outages, or changes in those third-party platforms.
c) You must maintain your accounts and connectivity with those services.
d) If a third-party becomes unavailable, we may suspend related features until alternative is found.

11. Warranty, Disclaimers & Liability

a) Services are provided “as is” and “as available.” We make no guarantee of uninterrupted service or specific results.
b) We disclaim all implied warranties to the fullest extent permitted by law.
c) Our maximum liability is limited to the amount you paid for our subscription in the past 12 months.
d) We do not accept liability for indirect, incidental, or consequential losses (lost profits, data loss, etc.).
e) Nothing excludes liability for death or personal injury caused by our negligence or fraud.

12. Data & Privacy

a) Your data and guest data are processed in accordance with our Privacy Policy, which is incorporated by reference.
b) You act as data controller for your Properties and guest data.
c) We are a data processor in providing our Services.
d) Data may be stored or transferred across jurisdictions as required to operate the Platform.

13. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless the Service Provider, its owners, directors, employees, representatives, and agents from and against any third-party claims, losses, liabilities, damages, and reasonable costs (including legal fees) arising from your breach of these Terms, negligence, unlawful conduct, or misuse of the Platform or Services.

14. Force Majeure

Neither party is liable for failure to perform due to causes beyond reasonable control (natural disasters, war, outage of Internet infrastructure, acts of government, etc.).

15. Changes to Terms

We may update these Terms from time to time, giving notice (e.g. email). Continued use after changes means acceptance.

16. Severability & Non-Waiver

If any part of these Terms is invalid, the remainder stays in force. Failure to enforce a right does not waiver it.

17. Notices & Communication

All notices should be via email or messages within the Platform. You agree our emails to your registered email are effective notices.

18. Governing Law & Jurisdiction

These Terms are governed by Slovenian law. Any dispute will be resolved in the competent courts in Ljubljana, Slovenia.
